3. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information

  • Assign appropriate decision-makers and points of contact

  • Review deliverables and provide feedback within agreed timelines

  • Use Services and deliverables responsibly and lawfully

We are not responsible for outcomes affected by incomplete, inaccurate, or delayed client-provided information.

 

4. Intellectual Property

a. Company Intellectual Property

Unless otherwise stated in writing, all methodologies, frameworks, templates, tools, processes, and pre-existing materials used or provided by Mosaic Virtual Business Consulting Group remain our intellectual property.

Clients receive a limited, non-exclusive, non-transferable license to use deliverables solely for their internal business purposes.

b. Client Intellectual Property

Clients retain ownership of all materials, data, and content they provide to us. By engaging our Services, clients grant us permission to use such materials solely to perform the agreed-upon Services.

 

5. Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information exchanged during the engagement.

We will not disclose confidential client information except:

  • As required to perform the Services

  • With client authorization

  • As required by law or legal process

Confidentiality obligations survive the termination of Services.

 

6. Fees, Payment, and Billing

Fees, payment schedules, and billing terms are defined in written agreements, proposals, or invoices.

Unless otherwise stated:

  • Payments are due within the time frame specified on the invoice

  • Late payments may result in paused Services

  • Clients are responsible for all applicable taxes

All fees are non-refundable unless explicitly stated in writing.

 

7. No Guarantees or Warranties

While we strive to deliver high-quality, professional Services, results depend on numerous factors beyond our control.

Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to:

  • Fitness for a particular purpose

  • Guaranteed outcomes or results

  • Error-free performance

 

8. Limitation of Liability

To the maximum extent permitted by law:

  • Mosaic Virtual Business Consulting Group shall not be liable for any indirect, incidental, consequential, or special damages

  • Our total liability arising from any claim related to Services shall not exceed the total fees paid to us for the Services giving rise to the claim

This limitation applies regardless of the legal theory asserted.

 

9. Indemnification

Clients agree to indemnify and hold harmless Mosaic Virtual Business Consulting Group, its officers, employees, and contractors from any claims, damages, liabilities, or expenses arising from:

  • Client misuse of Services or deliverables

  • Client-provided materials or instructions

  • Violation of applicable laws or third-party rights

 

10. Termination

Either party may terminate Services in accordance with the terms of the applicable agreement or SOW.

Upon termination:

  • Outstanding fees become immediately due

  • Licenses granted under these Terms cease

  • Confidentiality obligations remain in effect

 

11. Website Use and Content

Website content is provided for general informational purposes only. Unauthorized use, reproduction, or distribution of website content is prohibited.

We reserve the right to modify or discontinue website features at any time without notice.

 

12. Governing Law and Jurisdiction
